SOME JURISDICTIONS (SUCH AS THE EUROPEAN UNION, SWITZERLAND, AND OTHERS) DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT FULLY APPLY TO YOU.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALERT-INVEST.COM OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE LAST 12 MONTHS. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT FULLY APPLY TO YOU. NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE OUR LIABILITY FOR MATTERS WHICH CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.
11. Indemnification
You agree to defend, indemnify, and hold harmless alert-invest.com and its affiliates from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Service or your violation of these Terms or any applicable law.
12. Governing Law and Dispute Resolution
This section is important as it governs how legal disputes are handled. Please read it carefully.
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. However, if you are a consumer residing in the European Union, United Kingdom, or Switzerland, you may benefit from any mandatory provisions of the law of the country in which you are resident.
- Dispute Resolution for Users in the United States: Any dispute shall be resolved through final and binding arbitration administered by the American Arbitration Association (AAA) on an individual basis. YOU AND ALERT-INVEST.COM WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT.
- Dispute Resolution for Users Outside the United States:
- European Union & Switzerland: If you are a consumer residing in the EU or Switzerland, you may bring a claim to enforce your consumer protection rights in connection with these Terms in the competent courts of the country in which you reside. Furthermore, the European Commission provides for an online dispute resolution platform, which you can access here: https://ec.europa.eu/consumers/odr. We are not obligated to participate in a dispute settlement proceeding before a consumer arbitration board.
- All Other Jurisdictions: We encourage you to contact us first to resolve any dispute. If we cannot resolve it, we will mutually agree on a cost-effective arbitration provider to resolve the dispute on an individual basis.
13. Provisions for International Users
The Service is controlled and operated from the United States.
- Data Transfer: By using the Service, you consent to the transfer, processing, and storage of your information in the United States, a jurisdiction that may have different data protection laws than your country of residence. Our practices are detailed in our Privacy Policy.
- Compliance with Local Laws: You are responsible for complying with all local laws, rules, and regulations in your jurisdiction, including those related to financial services and online conduct. We make no representation that the Service or its content is appropriate or available for use in your location.
14. Miscellaneous
- Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and us.
- Severability: If any provision is deemed invalid, the remaining provisions will continue in full force.
